Terms of Service

1. Platform Role

SubmitVibeCode ("Platform", "we", "us") operates as a marketplace facilitator that connects sellers of AI-built software with buyers. We are not a party to the transaction between buyers and sellers. We do not develop, own, warrant, or endorse any application listed on the Platform.

All transactions are strictly between the buyer and the seller. The Platform provides the infrastructure for listing, discovery, and payment processing only. We are not responsible for the quality, functionality, security, or legality of any application sold through the Platform.

2. Buyer Terms

By purchasing an application on SubmitVibeCode, you acknowledge and agree to the following:

• Due Diligence: You are solely responsible for evaluating each application before purchase. Review the demo video, screenshots, description, tech stack, and any available live demo thoroughly before buying.
• All Sales Are Final: Due to the digital nature of the products, all sales are final. Refunds are not guaranteed and are handled at the sole discretion of the seller. The Platform does not issue refunds.
• No Warranty from Platform: We do not guarantee that any application will be free of bugs, fit for a particular purpose, or compatible with your environment. Any claims regarding the application must be directed to the seller.
• License Terms: Your use of purchased applications is governed by the license included with each listing. You may not redistribute, resell, or share the source code unless explicitly permitted by the license.
• Dispute with Seller: Any disputes regarding application quality, functionality, or description accuracy are between you and the seller. You agree to contact the seller directly to resolve issues before escalating.

3. Seller Agreement

By listing an application on SubmitVibeCode and connecting your Stripe account, you acknowledge and agree to the following:

• Ownership & Rights: You warrant that you have full ownership or legal right to sell the application and its source code. You are solely responsible for any intellectual property claims.
• Accurate Listings: Your listing description, demo video, and screenshots must accurately represent the application. Misleading listings may be removed without notice.
• Dispute Liability: You are solely responsible for any disputes, chargebacks, or refund requests from buyers. Chargebacks and disputes will be deducted from your Stripe balance. If your balance is insufficient, Stripe may recover funds from your linked bank account.
• Payout Schedule: Payouts are subject to a 14-day holding period from the date of sale. This allows time for dispute resolution. After the holding period, funds are paid out according to Stripe's standard schedule.
• Platform Fee: SubmitVibeCode retains a 15% platform fee on each sale. This fee is non-refundable regardless of the outcome of any dispute between you and a buyer.
• Buyer Support: You agree to respond to buyer inquiries and provide reasonable support for your listed applications. Persistent failure to respond may result in listing removal.
• Compliance: You agree to comply with all applicable laws and regulations, including tax obligations on your earnings.

4. Dispute Resolution

Disputes between buyers and sellers must be resolved directly between the parties. The Platform may, at its sole discretion, assist in mediation but is under no obligation to do so.

• Buyers should first contact the seller directly via the contact information provided on the listing or through the Platform.
• If no resolution is reached within 14 days, either party may contact us at legal@submitvibecode.com for optional mediation.
• The Platform's decision in any mediation is advisory only and not legally binding on either party.
• Filing a chargeback with your bank is a matter between you, your bank, and the seller's Stripe account. The Platform is not liable for chargeback outcomes.

5. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any direct, indirect, incidental, or consequential damages arising from the use of applications purchased through the Platform.
• Our total liability to any user shall not exceed the amount of platform fees collected from that user in the 12 months preceding the claim.
• We are not responsible for any loss of data, revenue, or business resulting from the use of applications purchased on the Platform.

6. Payment Processing

All payments are processed by Stripe. By using the Platform, you agree to Stripe's Terms of Service and Privacy Policy. The Platform does not store credit card information. Seller payouts are managed entirely by Stripe Connect with a 14-day holding period.

7. Account Termination

We reserve the right to suspend or terminate any account that violates these terms, engages in fraudulent activity, or receives repeated unresolved complaints. Sellers with terminated accounts will receive any pending payouts for completed, undisputed transactions.

8. Changes to These Terms

We may update these terms at any time. Continued use of the Platform after changes constitutes acceptance of the new terms. Material changes will be communicated via email to registered users.
